1. Definitions

• "Service" or "Services": the AI consulting engagements offered by Prismara, including Data Strategy & Pipeline Design, Conversational AI Development, and AI Ethics & Governance Review.
• "User" or "You": any individual or organization accessing our website or engaging our services.
• "We," "Us," or "Our": Prismara, operating from 234 Rama IV Road, Klong Toei, Bangkok 10110, Thailand.
• "Agreement": these Terms and Conditions together with any scope of work document signed between us.
• "Content": all materials, documents, deliverables, and written outputs produced during an engagement.
• "Client Data": any data, datasets, system access, or information you share with us for the purpose of delivering agreed services.

2. Acceptance of Terms

By accessing our website or engaging our services, you confirm that you have read and agree to be bound by these Terms and Conditions. If you are acting on behalf of an organization, you represent that you have the authority to bind that organization to this Agreement.

Use of our services is available to individuals and organizations who are 18 years of age or older and have the legal capacity to enter into binding agreements under Thai law or the applicable law of their jurisdiction.

These terms apply to website visitors and to clients engaged in formal service engagements. Where a separate scope of work document exists, its specific terms take precedence in the event of any conflict.

3. Service Description

Prismara provides AI consulting services to businesses and organizations. Our three current service areas are:

1. Data Strategy & Pipeline Design — a 3–4 week engagement covering data audit, architecture design, ETL pipeline specification, and governance framework documentation.
2. Conversational AI Development — a 6–8 week project for the design, development, and deployment of conversational systems, including one month of post-launch tuning support.
3. AI Ethics & Governance Review — a 2–3 week independent assessment covering bias detection, explainability, privacy compliance, and governance framework delivery.

Services are delivered remotely or in person from our Bangkok office depending on agreed terms. Geographic availability is primarily Thailand, though we may serve clients in other jurisdictions by mutual agreement.

4. User Responsibilities

When using our website or engaging our services, you agree to:

• Provide accurate and complete information when contacting us or during discovery sessions.
• Cooperate reasonably with our team to enable timely delivery, including attending scheduled check-ins and responding to requests within agreed timeframes.
• Not use our website for any unlawful, harmful, or abusive purpose.
• Not attempt to interfere with the operation of our website or related systems.
• Not misrepresent your identity, organization, or the purpose of any engagement.
• Ensure that any Client Data you share with us does not violate the rights of third parties or applicable law, including PDPA.

5. Intellectual Property

All content on this website — including text, design, logos, and structure — is owned by or licensed to Prismara and is protected under applicable intellectual property laws.

Deliverables produced under a service engagement (architecture documents, governance frameworks, implementation guides, and similar outputs) become the property of the client upon full payment of the engagement fee, subject to any agreed exceptions documented in the scope of work.

Prismara retains the right to use methodologies, frameworks, and general approaches developed during engagements for future work, provided no client-specific or confidential information is disclosed.

You may not reproduce, redistribute, or commercially exploit content from our website without prior written consent.

6. Payment Terms

Service fees are as listed on our website and confirmed in the scope of work document signed prior to commencement:

• Data Strategy & Pipeline Design: ฿42,000
• Conversational AI Development: ฿58,000
• AI Ethics & Governance Review: ฿32,000

All prices are in Thai Baht (THB) and include applicable Thai VAT unless otherwise stated. Payment terms are specified in the scope of work document and typically involve a deposit at project commencement and a final payment upon delivery.

Refunds are considered on a case-by-case basis where delivery has been materially incomplete due to circumstances within Prismara's control. Refunds are not provided for change of mind after project commencement.

7. Confidentiality

Both parties agree to treat each other's confidential information with reasonable care. Prismara will not disclose Client Data or engagement-specific findings to third parties without consent, except as required by law.

Clients agree not to disclose proprietary methodologies or unpublished tools shared during an engagement. Confidentiality obligations survive the termination of any engagement for a period of three years.

8. Disclaimers

Our services are provided in good faith based on the information available at the time of engagement. We do not warrant that any specific business outcome will result from the implementation of our recommendations.

AI systems involve inherent uncertainties. While we apply sound methodology and professional judgment, we cannot guarantee the performance, accuracy, or commercial success of any system designed or reviewed.

Our website is provided "as is." We do not warrant uninterrupted availability and accept no liability for temporary downtime or errors in website content.

9. Limitation of Liability

To the extent permitted by Thai law, Prismara's total liability for any claim arising from a service engagement shall not exceed the total fee paid for the engagement in question.

We are not liable for indirect, consequential, or incidental damages including lost profits, reputational damage, or business interruption, even if we have been advised of the possibility of such damages.

10. Termination

Either party may terminate a service engagement by written notice if the other party materially breaches the Agreement and fails to remedy the breach within 14 days of written notice.

Prismara reserves the right to suspend or terminate website access for users who violate these Terms.

Upon termination of an engagement, Prismara will deliver all completed work to date. Fees for completed phases are non-refundable. Terms relating to confidentiality, intellectual property, and liability survive termination.

11. Dispute Resolution

These Terms are governed by the laws of the Kingdom of Thailand. The parties agree to attempt informal resolution of any dispute within 30 days of written notice before initiating formal proceedings.

If informal resolution fails, disputes shall be submitted to the jurisdiction of the courts of Bangkok, Thailand, unless both parties agree in writing to an alternative resolution process such as mediation.

12. General Provisions

• Entire Agreement: These Terms, together with any signed scope of work, constitute the entire agreement between us and supersede prior discussions.
• Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
• Waiver: Failure to enforce any provision does not constitute a waiver of the right to enforce it in future.
• Assignment: You may not assign your rights under this Agreement without our prior written consent.
• Notices: Formal notices under this Agreement should be sent to the contact details below.

13. Changes to These Terms

We may update these Terms periodically. Material changes will be noted on this page with an updated "Last Updated" date. Continued use of our website following any update constitutes acceptance of the revised Terms.

For active service engagements, changes to these Terms will not apply retroactively without the written consent of both parties.
